Welcome to Lone Star Telemedicine, LLC dba “SUPERWELL” (“we,” “us,” “our,” or“Company”). These Terms and Conditions (“Terms”) govern your use of our website, services, and platform (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Service.

● SUPERWELL provides a platform to connect users with licensed medical providers for telemedicine consultations.
● SUPERWELLitself does not practice medicine, provide medical care, or issueprescriptions.
● All medicalservices are provided by independent, licensed physicians or medical providerswho operate under a Management Services Agreement (MSA) with Lone StarTelemedicine.
● Users must beat least 12 years of age to use the Service.
● Users under the age of 18 must have parental or legal guardian consent.
● The Service is available only to residents of Texas.
● Users must provide accurate, complete, and truthful information when creating an account and during consultations.
● Users are responsible for maintaining the confidentiality of their account credentialsand all activities conducted under their account.
● Users agree notto use the Service for emergencies or life-threatening conditions.
● SUPERWELLcomplies with HIPAA regulations to ensure the confidentiality and security ofyour personal and health information.

PaymentTerms
Allpayments for consultations and associated medications are required upfront atthe time of booking. Your appointment will not be confirmed until payment hasbeen received in full.
ConsultationFee
Theconsultation fee is $100 and is non-refundable once the consultationhas been completed, regardless of the outcome.
MedicationCosts
Thecost of medication is included in yourtotal payment and is non-refundableonce the consultation is completed and a prescription is issued. Due to safetyregulations, medications cannot be returned or refunded after issuance.
Ineligibilityfor Medication
If,after the consultation, you are determined to be ineligible for medication, you will receive a partial refund for the medication portion of your payment.
In this case, you will only be charged the $100consultation fee, which remains non-refundable.
Cancellationand Refund Eligibility
Cancellationsmade prior to a scheduled consultation may be eligible for a full refund,provided the cancellation request is submitted at least 72 hours in advance of the appointment time.
● Cancellation requests made less than 72 hours before the scheduled consultation may not beeligible for a refund.
● Missedappointments or "no-shows" without prior notice are not eligible for a refund.
TechnicalIssues and Failed Consultations
In the event of technical issues caused by theplatform that prevent the consultation from occurring, you may be eligible foreither a refund or a rescheduled consultation, at our discretion. Eachsituation will be reviewed on a case-by-casebasis.
RefundProcessing
Approved refunds will be processed to theoriginal method of payment within 7–10business days. Please note that it may take additional time for yourfinancial institution to post the refund to your account.
Non-RefundableCircumstances
Refunds will not be provided under thefollowing circumstances:
● Dissatisfaction with the consultation after ithas been completed.
● Failure to attend the consultation withoutprior cancellation.
● Medication costs once a prescription has beenissued and processed.
● Requests made outside of the eligible cancellation or technical issue policies.
PolicyAcceptance
By booking a consultation, you acknowledge that you have read, understood, and agreed to our payment and refund policies.
Users agree not to:
● Provide false or misleading information during consultations.
● Use the Service to obtain controlled substances or prescriptions unlawfully.
● Harass,threaten, or abuse our staff or medical providers.
● Attempt tohack, disrupt, or interfere with the platform.
● Use the Servicefor illegal purposes.
● SUPERWELLprovides the platform to facilitate telemedicine services and does not assumemedical liability.
● All medicalliability rests with the independent physician group providing the services.
● SUPERWELL isnot responsible for medical outcomes, misdiagnoses, or issues related toprescribed medications.
● THE SITE ANDALL CONTENT THEREON IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLESTEXTENT PERMISSIBLE BY APPLICABLE LAW, SUPERWELL DISCLAIMS ALL WARRANTIES,EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY AS TO THEOPERATION OF THE SITE OR THE CONTENT, THAT THE SITE WILL BE UNINTERRUPTED,ERROR-FREE, OR SECURE, AND THE IMPLIED WARRANTIES OF MERCHANTABILITY ANDFITNESS FOR A PARTICULAR PURPOSE. SUPERWELL DOES NOT GUARANTEE THAT THE RESULTSTHAT MAY BE OBTAINED FROM THE USE OF THE SITE WILL BE EFFECTIVE, RELIABLE, ORACCURATE OR WILL MEET YOUR REQUIREMENTS. WHILE WE MAKE REASONABLE EFFORTS TOPROVIDE YOU WITH ACCURATE CONTENT, WE MAKE NO GUARANTEES, REPRESENTATIONS, ORWARRANTIES, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO ANY CONTENT (INCLUDINGBUT NOT LIMITED TO DESCRIPTIONS OF PROFESSIONAL QUALIFICATIONS, EXPERTISE, ORQUALITY OF WORK). IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANYONE ELSE FOR ANYDECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON ANY SUCH CONTENT.
Alldisputes arising out of or related to the use of our Service shall be resolvedas follows:
a.Mediation
● In the event ofa dispute, both parties agree to first attempt to resolve the issue throughmediation conducted by a mutually agreed-upon neutral mediator.
● Each party willshare the cost of mediation equally.
b.Arbitration
● If mediationfails, the dispute shall be resolved through binding arbitration in accordancewith the rules of the American Arbitration Association (AAA).
● The arbitrationshall take place in Texas and be conducted in English.
● Thearbitrator’s decision will be final and binding, and judgment on the award maybe entered in any court having jurisdiction.
● All contentprovided on the Service is the copyright of SUPERWELL or its content suppliersand is protected by U.S. and international copyright laws.
● Users mayprint, download, or store information from the Service for personal,non-commercial use only.
● The SUPERWELLname and logo are trademarks of Lone Star Telemedicine, LLC. Any unauthorizeduse of these trademarks is prohibited.
● We reserve theright to update or modify these Terms at any time. Changes will be effectiveimmediately upon posting to the website.
● Continued useof the Service after changes are posted constitutes acceptance of the updatedTerms.
● These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
